Steps to Incorporate an LLP in India

Obtain Designated Partner Identification Number (DPIN)

Partners in the LLP must obtain DPIN. If already obtained for another LLP or company, it can be used.

Digital Signature Certificate (DSC):

All designated partners need to obtain a Digital Signature Certificate. This is required for filing documents online with the Ministry of Corporate Affairs (MCA).

Name Reservation

Choose a unique name for the LLP and check for its availability on the MCA portal. File Form 1 for name reservation.

Incorporation Documents

Prepare the incorporation documents, including the LLP Agreement.

File Form 2 for the incorporation of the LLP

Subscription Sheet and Statement

Prepare a subscription sheet and statement that must be signed by at least two partners.

Consent of Partners

Obtain the consent of each person willing to be a partner and sign the incorporation documents.

File LLP Agreement

Draft the LLP Agreement, which defines the rights and duties of partners.

File Form 3 with the MCA within 30 days of incorporation.

Certificate of Incorporation

If all documents are in order, the MCA will issue the Certificate of Incorporation.

LLP Identification Number (LLPIN):

The MCA will allot a unique LLPIN to the LLP.

PAN and TAN

Bank Account Opening

Open a bank account in the name of the LLP using the LLPIN.

Filing of Initial and Annual Returns

File Form 8 (Statement of Account & Solvency) and Form 11 (Annual Return) with the MCA
