Steps to Register a One Person Company (OPC) in India

Obtain Digital Signature Certificate (DSC)

The first step is to obtain a Digital Signature Certificate for the proposed director. This is required for filing documents with the Ministry of Corporate Affairs (MCA).

Director Identification Number (DIN)

Apply for Director Identification Number for the proposed director. If already obtained for another company, it can be used.

Name Reservation

Choose a unique name for the OPC and check its availability on the MCA portal.

File Form INC-1 for name reservation.

Drafting of Memorandum and Articles of Association

Prepare the Memorandum of Association (MOA) and Articles of Association (AOA) for the OPC.

Incorporation Documents

File Form INC-2 for the incorporation of the OPC, along with the necessary documents, including the MOA and AOA.

Nominee Consent

The sole shareholder must nominate a nominee who will take over in case of the original owner's incapacitation.

Obtain the written consent of the nominee in Form INC-3.

Consent of Director

Obtain the consent of the proposed director in Form DIR-2.

Affidavit and Declaration

The sole shareholder and director must file an affidavit and a declaration stating compliance with all legal requirements.

Certificate of Incorporation

If all documents are in order, the MCA will issue the Certificate of Incorporation.

PAN and TAN will be issued along with Certificate of Incorporation

Bank Account Opening

Open a bank account in the name of the OPC using the Certificate of Incorporation.

Filing of Annual Returns

File Form AOC-4 (Financial Statements) and Form MGT-7 (Annual Return) with the MCA at the end of each financial year.
