Steps to Incorporate a Company in India

Choose a Business Structure

Decide on the type of company structure (Private Limited, Public Limited, Limited Liability Partnership, etc.) based on your business needs and objectives.

Name Approval

Propose a unique name for your company.

Check the name availability on the MCA portal.

Ensure that the proposed name complies with the naming guidelines.

Obtain Director Identification Number (DIN)

Directors must obtain a DIN from the MCA. This is a unique identification number.

Digital Signature Certificate (DSC):

Apply for a DSC for the proposed directors. It is required for filing online documents with the MCA.

Prepare Documents

Draft the Memorandum of Association (MOA) and Articles of Association (AOA).

Complete the required forms such as SPICe (Simplified Proforma for Incorporating Company Electronically).

File Incorporation Documents

Submit the required documents, along with the prescribed fees, to the MCA through the online portal.

Certificate of Incorporation

Once the documents are verified and approved, the MCA will issue a Certificate of Incorporation.

PAN and TAN Application

Apply for a Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN) for the company.

Bank Account Opening

Open a bank account in the name of the company.

Registration with other Authorities

Depending on the nature of your business, you may need to register with other authorities like GST, EPFO, ESIC, MSME etc.

Compliance Requirements

Ensure compliance with ongoing regulatory requirements, such as filing annual returns, financial statements, etc
